3.         How to Enter:  To enter the Sweepstakes, an entrant must be a member of Sponsor’s {N}power customer loyalty program, which can be joined at no cost at www.naturalgrocers.com/join.  Entrants will be able to enter the Sweepstakes by downloading the Natural Grocers Mobile App and linking it with their {N}power account during the Sweepstakes Period. {N}power members who have downloaded the Natural Grocers Mobile App and linked it to their {N}power account prior to the Sweepstakes Period are not eligible to enter.

4.         Sweepstakes Prizes:  Sweepstakes prizes will be awarded as follows:

1. Grand Prize. If and only if an eligible entrant is (i) the 150,000^th {N}power member to download the Natural Grocers Mobile App and link it to their{N}power account, and (ii) such download and linkage occurs during the Sweepstakes Period, then such entrant will receive a grand prize consisting of one (1) Natural Grocers gift card that will be autoloaded with $50.00 each week for four (4) consecutive weeks (total value, $200.00) (the “Grand Prize”); and 

2. Runner Up Prize. One (1) total entrant across will receive a runner up prize consisting of one (1) $100 Natural Grocers gift card (the “Runner Up Prize”)

(the Grand Prize and Runner Up Prize may collectively hereafter be referred to as a “Sweepstakes Prize” or “prize”). Sweepstakes Prizes are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. If no eligible entrant meets the criteria at Section 4.a above, no Grand Prize will be awarded.

5.         Selection of Sweepstakes Prize Winners:  Following the conclusion of the Sweepstakes Period, Sponsor will (i) identify the Grand Prize winner, if any, based on the criteria at Section 4.a above, and (ii) randomly select the Runner Up Prize winner from all eligible entries received during the Sweepstakes Period. Sponsor will notify prize winners of their selection using the information provided by such winners during entry. The Sweepstakes Prize winners must respond to such notice and provide their valid mailing address to Sponsor within seven (7) days after notification, otherwise Sponsor may, in its sole and absolute discretion, void such Sweepstakes Prize winner’s selection and select a new Sweepstakes Prize winner. The prizes will be mailed to each winner’s valid mailing address within a reasonable period following the conclusion of the Sweepstakes Period. To be valid, an address must be in an Eligible State. If a Sweepstakes Prize is rejected or returned following attempted delivery, Sponsor may, in its sole and absolute discretion, void such Sweepstakes Prize winner’s selection and select a new prize winner. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Winners are responsible for all taxes and fees associated with prize receipt and/or use. The odds of winning a prize depend on the total number of eligible entries received.

5.         Selection of Sweepstakes Prize Winners:  For each participating Sponsor store, Sponsor will randomly select a Sweepstakes prize winner from all eligible entries following the conclusion of the Sweepstakes Period. The failure of a winner to pick up their prize by December 15, 2023 will result in an automatic forfeiture of such winner’s prize and an alternate prize winner will be selected at random.

IN ADDITION, the potential winner of the eBike prize will also need to complete, sign and return to Sponsor an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law).  If a potential Sweepstakes prize winner fails to complete, sign and return the Waiver and Release or IRS Form W-9 within such seven (7) day period, his/her prize will be forfeited and an alternate potential prize winner will be selected at random.

6.         Publicity:  Except where prohibited by law, participation in the Sweepstakes constitutes a winner’s consent in perpetuity to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions, statements and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

7.         General Conditions:  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, Sponsor shall have the right to modify, extend, suspend or terminate the Sweepstakes.

8.         Release/Limitations of Liability:  Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”): (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  By winning a prize, each winner agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such winner’s participation in the Sweepstakes or such winner’s receipt, use or misuse of any prize. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, with or without notice, for any reason or no reason, and Sponsor disclaims all liability in connection with such cancellation, modification or suspension.

9.         Disputes:  Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal courts in Denver, Colorado and hereby submit to the jurisdiction of such courts; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (iii) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction).

In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in other Sweepstakes materials (including, without limitation, any point of sale, online or print advertising), the details of the Sweepstakes as set forth in these Official Rules shall prevail.

(“Sponsor”) and its parent, affiliates and subsidiaries, and the immediate family (spouses, parents, siblings and children) and household members of such employees, are not eligible. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Sweepstakes.  Winning a prize is contingent upon fulfilling all requirements set forth herein.

2.         Timing:  The Sweepstakes begins on October 20, 2023, and ends on November 30, 2023 (the “Sweepstakes Period”).

3.         How to Enter:  Entrants will be able to enter the Sweepstakes by submitting an entry form at Sponsor’s store located at 751 North Columbia Center Blvd, Kennewick WA 99336, during business hours, during the Sweepstakes Period.  There is a maximum of one (1) entry per person, per day during the Sweepstakes Period. 

4.         Sweepstakes Prizes:  The Sweepstakes prizes to be awarded consist of: (i) one (1) Barbara’s Puffin stuffed animal (approximate retail value $75.00); (ii) one (1) gift basket of Country Life vitamins which includes one (1) $100.00 Visa gift card (approximate total retail value $200.00, including the gift card); (iii) one (1) Cuisinart food processor (approximate retail value $350.00);  (iv) one (1) Aventon Pace 500 eBike (approximate retail value $1,400.00 (the “eBike”)); (v) one (1) Natural Grocers $500.00 gift card; (vi) one (1) Vitamix Explorian E310 Blender (approximate retail value $350.00); (vii) one (1) wagon (approximate value $125.00); and (viii) one (1) Woodstock-branded hammock (approximate retail value $400.00). Prizes are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Winners are responsible for all taxes and fees associated with prize receipt and/or use. 

The odds of winning a Sweepstakes prize depend on the number of eligible entries received.

5.         Selection of Sweepstakes Prize Winners:  Sponsor will randomly select the potential Sweepstakes prize winners from all eligible entries within a reasonable period following the end of the Sweepstakes Period. If a potential Sweepstakes prize winner fails to respond to Sponsor within seven (7) days following Sponsor’s attempt to notify him/her that he/she is a potential prize winner, his/her prize will be forfeited and an alternate potential prize winner will be selected at random.
